Disclosure in accordance with the Law of May 2, 2007

Telenet Group Holding NV ("Telenet" or "the Company") (Euronext Brussels: TNET) hereby discloses information in accordance with Article 14 of the Law of May 2, 2007 and the related Royal Decree of February 14, 2008:

On April 14, 2010 Telenet received a transparency declaration from the members of the Liberty Global Consortium, acting in concert, stating that Binan Investments B.V., as of April 8, 2010, holds 56,405,400 shares of the Company, representing 50.45% of the total share capital of the Company.

This transparency declaration is filed in relation to certain transfers between members of the Liberty Global Consortium, as a result whereof all shares of Binan Investments B.V. were finally acquired by UPC Belgium B.V., another affiliate of Liberty Global Inc.

This declaration also mentions the acquisition of 313,789 shares of the Company by Binan Investments B.V. trough market purchases since its last transparency declaration (purchases without threshold exceeding).

Any increase above (or decrease below) the following thresholds requires a declaration to Telenet and the Banking, Finance and Insurance Commission (CBFA):

  1. 3% statutory threshold, as set out by the articles of association of the Company;
  2. 5% or each multiple of 5%, as set out by Belgian law.
