Disclosure in accordance with the Law of May 2, 2007 - Transparency Declaration
Telenet Group Holding NV ("Telenet" or "the Company") (Euronext Brussels: TNET) hereby discloses information in accordance with Article 14 of the Law of May 2, 2007 and the related Royal Decree of February 14, 2008:
On November 30, 2012 Telenet received a transparency declaration from Omega Advisors, Inc., stating that Omega Advisors, Inc., as of September 18, 2012, holds 3,805,363 shares of the Company, representing 3.35% of the total share capital of the Company on that day.

Any increase above (or decrease below) the following thresholds of total outstanding share capital requires a declaration to Telenet and the Financial Services and Markets Authority (FSMA):
- 3% threshold, as set out by the articles of association of the Company;
- 5% or each multiple of 5% threshold, as set out by Belgian law.
